1. Introduction
These Terms and Conditions (“Agreement”) govern the relationship between BSquare, a software agency based in Pakistan (“we,” “our,” or “us”), and our clients, including those in the USA and Europe (“you” or “client”). By engaging our services, you agree to abide by this Agreement. If you do not agree, please refrain from using our services.

2. Scope of Services
BSquare offers software development services, including but not limited to software design, coding, testing, and maintenance.
3. Confidentiality
We respect your confidentiality and will take all reasonable measures to safeguard your proprietary information. We may require access to your confidential data for the provision of services and will ensure its security.
4. Intellectual Property
All software, code, and other intellectual property created during our engagement remain the property of BSquare until all outstanding fees are paid. Upon full payment, you will have full rights to the software and intellectual property developed during the project.
5. Payment
You agree to pay BSquare the agreed-upon fees for services as outlined in the project proposal or contract. Payment terms, deadlines, and methods will be specified in the project agreement.
6. Termination
Either party has the right to terminate the agreement upon written notice, specifying the reason. Upon termination, any outstanding fees must be paid. Any intellectual property developed during the project will be handed over according to the terms of the project agreement.
7. Warranties and Liability
BSquare warrants that the services provided will be of professional quality. However, we do not warrant the software’s fitness for a particular purpose, and you acknowledge that software development inherently involves some level of uncertainty. We shall not be liable for any indirect, special, or consequential damages.
8. Dispute Resolution
In the event of a dispute, both parties agree to seek an amicable resolution through mediation or arbitration, under the jurisdiction specified in the project agreement.
9. Data Privacy
We will handle personal data in accordance with applicable data protection laws in Pakistan. You agree to comply with all data protection requirements related to your use of our services.
10. Compliance with International Laws
As we primarily serve clients in the USA and Europe, you agree to comply with all applicable laws, regulations, and export control restrictions that may affect the use of our services in these regions.
11. Modification of Terms
We reserve the right to modify these terms and conditions at any time. We will provide notice of changes and the effective date of the revised terms. Your continued use of our services after such notice constitutes your acceptance of the new terms.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts in Pakistan.
